Affiliate Partner Terms

The entire foundation of the affiliate programme is the integrity of referred traffic. The Affiliate warrants that all traffic referred to the Platform or to sellers via the Platform is genuine, human-generated, and not artificially inflated or manipulated in any way. Compea Ltd reserves the right to audit and validate traffic at any time, and determinations regarding the validity of traffic and commission eligibility are made at Compea Ltd's sole and final discretion.

The following practices are strictly prohibited and will result in immediate termination of the Affiliate's participation and forfeiture of any unpaid commissions:

• Generating, purchasing, or directing bot traffic, automated clicks, or non-human sessions;
• Cookie stuffing, forced clicking, or any other technique designed to attribute conversions not resulting from a genuine user referral;
• Using misleading, deceptive, or unlawful advertising practices to drive traffic;
• Misrepresenting the nature of the Platform or any product to prospective users; and
• Incentivising clicks or conversions through payments, prizes, or other inducements not disclosed to users.

Compea Ltd makes no representation or warranty regarding the volume of traffic available for referral, the conversion rate of any traffic, or the commission revenue that any Affiliate may expect to earn. Participation in the programme does not guarantee any minimum level of traffic, revenue, or commission.

Compea Ltd's tracking and attribution systems constitute the sole and definitive record for commission calculation purposes. In the event of a discrepancy between an Affiliate's own tracking data and Compea Ltd's records, Compea Ltd's records shall prevail. Commissions will only be paid in respect of traffic validated as genuine by Compea Ltd's systems. Compea Ltd reserves the right to withhold, reverse, or reclaim any commission paid in respect of traffic subsequently determined to be invalid, fraudulent, or in breach of these Terms.

Commission rates applicable to the Affiliate's participation are agreed in writing between the Affiliate and Compea Ltd at the time of onboarding and may be updated by Compea Ltd with thirty (30) days' written notice. Commissions are calculated on a monthly basis in arrears and are payable within thirty (30) days of the end of the relevant month, subject to the commission amount meeting any applicable minimum payment threshold communicated to the Affiliate in writing.

Compea Ltd reserves the right to hold payment where a fraud investigation is pending in respect of the Affiliate's traffic. Any commission held pending investigation will either be paid upon satisfactory resolution or forfeited in the event of a finding of fraud or material breach. All commission payments are made in Kenyan Shillings unless otherwise agreed in writing. The Affiliate is solely responsible for all taxes, duties, and levies applicable to commissions received.

These Affiliate Partner Terms shall remain in effect until terminated by either party. Either party may terminate the Affiliate's participation in the programme at any time by giving fourteen (14) calendar days' written notice to the other party. Compea Ltd may terminate the Affiliate's participation immediately and without notice where: the Affiliate is in material breach of these Terms; the Affiliate has engaged in any of the prohibited practices listed in Section 8.2; the Affiliate has caused or is likely to cause reputational, legal, or financial harm to Compea Ltd; or Compea Ltd discontinues the affiliate programme entirely.

Upon termination, the Affiliate must immediately cease using all Compea branding, links, and marketing materials. Compea Ltd will pay any validly earned commissions accrued up to the date of termination, provided that no material breach or fraud has been identified. Commissions that are the subject of a pending investigation at the date of termination shall be withheld pending resolution. Sections 8.2, 8.4, and the indemnity provisions in these Terms shall survive termination.
