Seller Terms and Conditions

The Seller retains exclusive responsibility for all aspects of its product listings and associated transactions. Specifically, the Seller is responsible for ensuring that all product information including descriptions, images, specifications, and pricing is accurate, complete, and not misleading; maintaining real-time or near-real-time stock availability accuracy; honouring all prices displayed on the Platform at the time a user clicks through to the Seller's website; fulfilling all orders in accordance with applicable consumer protection law; providing responsive and lawful customer service including handling complaints, returns, refunds, and warranty claims; and complying with all applicable laws and regulations including but not limited to the Kenya Consumer Protection Act, the Competition Act, and the Kenya Data Protection Act.

The Seller warrants that it will not submit any listing containing false pricing information, fabricated or misleading stock availability signals, bait-and-switch product offers, or descriptions or images that do not accurately represent the product being sold. Any deliberate misrepresentation - whether in respect of price, availability, product identity, condition, or specification - constitutes a material breach of these Seller Terms and may result in immediate removal of listings, account suspension, and referral to the relevant regulatory authority.

By submitting product data to the Platform, the Seller grants Compea Ltd a non-exclusive, royalty-free licence to display, restructure, normalise, and present the Seller's product data on the Platform; compare the Seller's products with those of other sellers; generate automated summaries, rankings, and comparison outputs derived from the Seller's data; and apply algorithmic ranking and scoring logic to determine the relative positioning of the Seller's listings. Compea Ltd does not warrant any minimum level of visibility or ranking for any Seller's listings, and ranking positions are subject to change at any time.

Compea Ltd reserves the right to take the following enforcement actions in progressive sequence, or immediately where the nature of the breach warrants it:

1. Formal written warning issued to the Seller with a specified period to remedy the identified breach.
2. Reduction in the visibility or ranking of the Seller's listings on the Platform pending improvement.
3. Temporary suspension of the Seller's account pending investigation of the breach.
4. Permanent removal of all listings and termination of the Seller's account.
5. Reporting of the Seller's conduct to the relevant Kenyan regulatory authority or law enforcement agency where required or appropriate.

Compea Ltd reserves the right to accelerate this sequence and proceed directly to any step - including immediate termination - where the breach is sufficiently serious, involves deliberate misrepresentation, or poses a risk to user safety or platform integrity. The Seller strictly agrees not to engage in artificially inflating click-through traffic to the Platform or to the Seller's own website; click fraud, bot traffic, or any form of traffic manipulation; abusing the Platform's attribution or commission tracking systems through cookie stuffing, link injection, or any other prohibited technique; or encouraging, incentivising, or facilitating any other party to engage in the foregoing. Breach of this clause constitutes a material breach of these Seller Terms entitling Compea Ltd to immediate termination and recovery of any commissions paid in respect of fraudulent traffic.

The Seller shall indemnify, defend, and hold harmless Compea Ltd, its directors, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with: any product defect or unsafe product listed by the Seller; any misrepresentation or misleading listing submitted by the Seller; any breach by the Seller of applicable law; any dispute between the Seller and a user arising from a transaction facilitated through the Platform; and any third-party intellectual property infringement attributable to the Seller's listings.
